Help! Password manager for agency!

I am sure (as always) that someone more intelligent than me as figured it out!Q But as of now, I can’t figure it out!

It’s fairly simple and I believe it can (should) be done.

As we are managing accounts for clients, Agorapulse really helps but not all the data is available there. For example, LinkedIn doesn’t provide third party app to collect stats and data is just not available.

We’ve been looking for a password manager that allows us, as an agency, to receive a password share form our clients and share it again with our contractors.

The setup is super simple:

CLIENT shares password/item with us, AGENCY, we are looking to share it with our CONTRACTORS, who’d be already in our password management platform.

And we don’t want to see the passwords!!!

CLIENT → AGENCY (US) → CONTRACTOR

Most password management platforms only allows the main owner of the password to share with full access if the item will be re-shared within the platform - which means that the client has to make their password available for us to see before sharing with some restriction to the rest of our team.

We want to offer a secure process to our client and we are looking to a flexible platform to accept the “item share” and be able to share them.

Oh, and we want to be the one paying for the licence!

LastPass is a real nightmare for this as the client has to upgrade to a business account and even then, we wouldn’t be able to share the items shared with us with our team.

NordPass seemed promising but, nope.

Not an agency worker so I had no clue this was even possible, to be honest. I did some research, I noticed you mentioned LastPass and NordPass. I’d probably stay away from LastPass based on what you’re saying.

I did find something called Keeper. Might be worth looking into as well.

It seems rather in-depth for IT and Admins to use, with shared folders, customized roles and one-time share for contractors as they put it.

I assume that this is still a pretty niche product that you’re looking for.

Not sure if this will help or not but I use LastPass sometimes, only for the clients that have it themselves. I’ve never asked what type of plan they have, but they’re always able to share passwords with me and I have a free account. In my mind, if they are really worried about security then they should have no problems investing in something like that.

However, LastPass isn’t what I use mainly because I do find it glitchy. I actually have my clients give me their passwords, and I have a clause in my contract that basically covers me from them suing me if their accounts get hacked. It says that I use a secure password manager and that is the only place I save their passwords. I use the Norton Password Manager to do that which comes with the security software I use on my computer.

I used to work with an IT Consultant and I asked him about the security aspect. He said as long as I had that in my contract and let clients know up front that I take security seriously and these are the measures I have in place, but that they are responsible for any additional measures if they feel it’s not adequate. I’ve never had a client question me about the security I use :slight_smile:
I mean, I’m not sure we can ever be 100% covered, but this goes a long way in my mind!

Super helpful. Do you think I could push my luck and ask you what your clause regarding security stipulates exactly? I would most likely amend all my upcoming agreement with a clause like this!

My main issue about my situation is that I have 3-steps of sharing: Client to me and me to the contractors that helps me with their account.
That’s why it gets a bit more complicated.
I have decided to go forward with NordPass as I cover the licence fee of inviting them to my account and, once I receive the item with Full Rights (I do see the password), then I can share it with Limited Rights with my contractors.
I believe there are no perfect system but this seems to be the best so far!

Hey, definitely! Full disclosure this has NOT been reviewed by a lawyer. There are two different ways I’ve used it:

OPTION 1

Liability. Except for gross negligence, either party will not be liable to the other for any special, indirect, incidental or consequential damages of any type, including but not limited to lost profits or lost data, arising out of or in connection with this Agreement or the services, or arising out of the results or operation of any system resulting from implementation of any recommended plan or design, even if one or the other of us have been advised of the possibility of the damage, and even if one of us asserts or establishes a failure of essential purpose of any limited remedy provided in this Agreement. Except for gross negligence, under no circumstances will AJW Services be liable to you for any amount in excess of the services fee under the applicable statement of work for the twelve-month period immediately preceding the action that gives rise to your claim. This limitation of liability applies to all types of legal theories, including contract, tort, professional liability, product liability, warranty, or anything else.

OPTION 2

8.1 Client will and does hereby indemnify and save harmless AJW Services and its past and present partners, employees, agents and subcontractors in full from and against any and all losses, claims, damages, actions, liabilities, causes of action, costs and expenses incurred by AJW Services resulting from breach of this agreement by Client, except for losses, claims, damages, actions, liabilities, causes of actions, costs and expenses arising out of the gross negligence or willful misconduct of AJW Services, AJW Services’ agents and employees or those for whom it is in law responsible.

8.2 AJW Services will and does hereby indemnify and save harmless Client and its past and present partners, employees, agents and subcontractors in full from and against any and all losses, claims, damages, actions, liabilities, causes of action, costs and expenses incurred by Client resulting from breach of this Agreement by AJW Services, except for losses, claims, damages, actions, liabilities, causes of actions, costs and expenses arising out of the gross negligence or willful misconduct of Client, Client’s agents and employees or those for whom it is in law responsible.

8.3 Neither party will be liable to the other party for any punitive, incidental, indirect or consequential loss or damage, including loss of revenues, income or profits, cost of capital, loss of goodwill or reputation or increased operating costs.

8.4 Notwithstanding Section 8.2, AJW Services’ total liability under any claim or action arising out of the performance of services under this Agreement, regardless of the form of such claim or action, will in no event exceed an amount equal to the total fees paid by Client to AJW Services for services performed under this Agreement.
